IRS CP259 Notice: Business Return Not Filed
A CP259 notice means the IRS has no record that your business filed a required return — typically a Form 941 payroll return, 1120 corporate return, or 1065 partnership return — and is asking you to file it or explain why none is due.
What a CP259 actually means
The IRS expects a return for every period a business account is active. Miss a quarter of payroll filings or an annual return and the CP259 follows. If the business had no employees or activity that period, you can say so — but silence lets the IRS create its own version of events.
The stakes are bigger than they look: unfiled 941s block every resolution option, late-filing penalties on 1120s and 1065s accrue per-partner or per-month, and continued nonfiling can lead the IRS to prepare a substitute return with none of your deductions.
What to do, step by step
- 1Identify the exact form and period the notice names.
- 2If the return was required, file it now — even unpayable balances are better filed than not (failure-to-file penalties dwarf failure-to-pay).
- 3If no return was due (no employees that quarter, business closed, dissolved entity), check the box on the response form and explain — and formally close the account if the business ended.
- 4If several periods are missing, get help reconstructing them — payroll and income transcripts can rebuild the numbers.
- 5If a balance results, set up a business installment agreement before penalties compound.
Common questions
What if my business had no activity — do I still file?+
For Form 941, if you had no employees you can mark the response form accordingly or file a final 941 to close the filing requirement. Corporations and partnerships generally must file annually while the entity exists, even with zero activity.
What happens if I ignore a CP259?+
Penalties keep accruing, the IRS may prepare a substitute return without your deductions, and for payroll periods the account escalates toward collection — which for withheld payroll taxes can reach owners personally through the Trust Fund Recovery Penalty.
